HC2 Holdings Completes Sale of Interest in HMN Joint Venture

NEW YORK, May 12, 2020 (GLOBE NEWSWIRE) -- HC2 Holdings, Inc. (“HC2” or the “Company”) (NYSE: HCHC), a diversified holding company, announced today that the Company, through an indirect subsidiary in which HC2 holds an approximate 73% equity interest, has completed the first close of the sale of its 30% stake in Huawei Marine Networks Co., Limited (“HMN”), its 49%-owned equity investment, to Hengtong Optic-Electric Co Ltd (“Hengtong”). 

The transaction concludes the sale process that was announced in October 2019.  The 30% interest was sold for $85 million.   After taxes and transaction fees, HC2’s portion of the total net proceeds will be used to redeem over $50 million of HC2’s 11.5% Senior Secured Notes (“11.5% Notes”) at a redemption price of 104.5% of the principal amount in June 2020. The remaining 19% interest will be held by the Company subject to a two-year put option. 

“We are very pleased to have completed the first closing of the sale of our interest in the HMN joint venture, which will allow us to further reduce our overall debt at the holding company level,” said Philip Falcone, President and Chief Executive Officer of HC2.  “After the redemption of debt from the proceeds of the HMN sale, we will have reduced the principal outstanding on our 11.5% Notes by approximately $130 million thus far in 2020, which will enable us to save $15 million in annual interest expense.  We remain determined to execute on further de-levering our balance sheet and strengthening our capital structure in the near term.  Additionally, we are continuing to work on reducing our corporate overhead, while focusing on our growth and innovation opportunities at our Energy, Broadcasting and Life Sciences segments.”
